Terms of Service

These Terms of Service ("Terms") govern your access to and use of FlowGuideAI, Inc.'s ("FlowGuideAI") platform, website, and related services (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and FlowGuideAI.

2. Description of Service

FlowGuideAI is a documentation drafting platform that uses artificial intelligence to assist users in creating business documentation, including compliance guides, HR policies, IT runbooks, standard operating procedures, and other professional documents. The Service is available as a web application; additional Enterprise deployment options are available — contact sales@flowguideai.com.

The Service is a drafting tool, not a professional advisory service. FlowGuideAI does not provide legal, compliance, HR, financial, or regulatory advice. See Section 3 for the full AI-generated content disclaimer.

3. AI-Generated Content; No Professional Advice

FlowGuideAI bears no liability for regulatory non-compliance, audit failures, legal penalties, certification rejections, or other adverse outcomes arising from the use of AI-generated documents that have not been reviewed and verified by qualified human professionals. By using the AI generation features of the Service, you expressly acknowledge this limitation and accept sole responsibility for any reliance on AI-generated content.

4. User Accounts and Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify FlowGuideAI immediately at legal@flowguideai.com of any unauthorized use of your account. FlowGuideAI is not liable for any loss or damage arising from your failure to maintain account security.

You represent that all information you provide in connection with your account is accurate, complete, and current. You agree to update your information promptly if it changes.

5. Acceptable Use

You agree not to use the Service to:

• Generate fraudulent compliance certifications, audit reports, or regulatory filings
• Misrepresent AI-generated content as having been reviewed by licensed professionals when it has not
• Upload or process content that infringes third-party intellectual property rights
• Circumvent platform controls, security mechanisms, or usage limits
• Engage in automated scraping, data mining, or bulk extraction of platform content
• Violate any applicable law, regulation, or third-party rights
• Harass, defame, or harm other users
• Use the Service in any way that disrupts or damages the platform or other users' experience

Violation of these restrictions may result in immediate account suspension or termination without refund. See our Acceptable Use Policy for additional detail.

6. Intellectual Property

Your content: You retain ownership of all content you upload to the Service (documents, images, templates, text inputs) and all AI-generated documents produced from your inputs. You grant FlowGuideAI a limited license to process and store your content solely to provide the Service to you.

FlowGuideAI's intellectual property: FlowGuideAI owns the platform, software, AI models (where operated by FlowGuideAI), template structures, formatting logic, and all other elements of the Service not constituting your content. You receive a limited, non-exclusive, non-transferable license to use the Service per your subscription tier, as further described in the EULA.

Feedback: Any suggestions, ideas, or feedback you provide about the Service may be used by FlowGuideAI without restriction or compensation.

7. Subscription Terms

Access to paid features requires an active subscription. Fees are billed in advance on a monthly or annual cycle as selected at signup. All fees are in USD. Current pricing is available at flowguideai.com/pricing.

Refund policy: Monthly subscriptions may be cancelled at any time; cancellation takes effect at the end of the current billing period with no prorated refund for unused time. Annual subscriptions are non-refundable after 7 days from initial purchase. Contact legal@flowguideai.com for billing disputes.

Plan changes: You may upgrade your plan immediately; the prorated difference will be charged. Downgrades take effect at the next billing cycle.

Price changes: FlowGuideAI reserves the right to change subscription prices with at least 30 days' advance notice to active subscribers. Existing annual subscriptions remain at the agreed price until renewal.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLOWGUIDEAI'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES ACTUALLY PAID BY YOU TO FLOWGUIDEAI IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL FLOWGUIDEAI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS OR REVENUE, LOSS OF DATA, REGULATORY PENALTIES, COMPLIANCE FAILURES, AUDIT REJECTION, THIRD-PARTY CLAIMS ARISING FROM RELIANCE ON AI-GENERATED DOCUMENTATION, OR BUSINESS INTERRUPTION - EVEN IF FLOWGUIDEAI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

This limitation of liability applies with particular force to any claim arising from the use of AI-generated documentation in regulated contexts, including but not limited to SOC 2, HIPAA, ISO 27001, GDPR, employment law, or financial regulatory compliance, without independent professional review.

9. Indemnification

You agree to indemnify, defend, and hold harmless FlowGuideAI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service in violation of these Terms; (b) your use of AI-generated content in regulated contexts without independent professional review; (c) your content or materials submitted to the Service; or (d) your violation of any applicable law or third-party rights.

10. Termination

You may close your account at any time through your account settings. FlowGuideAI may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or any other reason at FlowGuideAI's discretion, with or without notice. Upon termination, your right to use the Service ceases immediately. Account data will be retained and then deleted per our Privacy Policy.

11. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law provisions. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Santa Clara County, California.

12. Changes to Terms

FlowGuideAI reserves the right to modify these Terms at any time. We will notify you of material changes by email or in-app notice at least 7 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
