End User License Agreement (EULA)

This End User License Agreement ("EULA") is a legal agreement between you ("User") and FlowGuideAI, Inc. ("FlowGuideAI") governing your use of the FlowGuideAI platform and services. This EULA supplements our Terms of Service. By accessing or using the Service, you agree to this EULA.

1. Grant of License

Subject to your compliance with this EULA and payment of applicable subscription fees, FlowGuideAI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the FlowGuideAI platform solely for your internal business documentation purposes, within the feature limits and seat counts of your subscription tier.

This license does not include the right to sublicense, resell, redistribute, or make the platform available to third parties as a managed service or bureau service without a separate written agreement with FlowGuideAI.

2. Restrictions

You may not, and may not permit others to:

• Reverse engineer, decompile, disassemble, or attempt to derive source code from any component of the Service
• Copy, modify, adapt, or create derivative works of the platform or its underlying software
• Resell, sublicense, lease, or otherwise make the Service available to third parties without written authorization from FlowGuideAI
• Use AI-generated outputs from the Service as training data for any competing AI system or documentation platform
• Remove, obscure, or alter any copyright, trademark, or proprietary rights notices in the Service
• Use the Service in any way that violates applicable law, this EULA, or our Terms of Service
• Exceed the usage limits (guides, AI generations, seats, storage) applicable to your subscription tier

3. AI Output License

FlowGuideAI grants you a perpetual, royalty-free license to use, copy, modify, and distribute AI-generated documents produced from your inputs through the Service for your business purposes, subject to the following conditions:

• You are solely responsible for reviewing AI-generated content for accuracy, completeness, and fitness for your intended purpose before use
• You may not represent AI-generated content as independently certified, professionally reviewed, or regulation-compliant without having conducted such review
• FlowGuideAI makes no warranty that AI-generated content is accurate, current, or compliant with any regulation (see Section 6)

FlowGuideAI retains ownership of the structural templates, formatting logic, and platform methodology used to generate outputs. You own the specific text content of the documents generated from your inputs.

4. Subscription and Payment Terms

Access to the Service is conditioned on maintaining an active subscription and timely payment of fees. FlowGuideAI reserves the right to suspend access if fees are overdue. See our Terms of Service for complete billing and refund terms. Current pricing is at flowguideai.com/pricing.

5. Termination of License

This license is effective until terminated. FlowGuideAI may terminate your license immediately and without notice if you breach any provision of this EULA or the Terms of Service. Upon termination, you must cease all use of the Service. Sections 2, 3, 6, and 7 survive termination.

6. No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. FLOWGUIDEAI EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, FLOWGUIDEAI MAKES NO WARRANTY AND EXPRESSLY DISCLAIMS ANY REPRESENTATION THAT AI-GENERATED DOCUMENTATION IS ACCURATE, COMPLETE, CURRENT, FREE FROM ERROR, OR COMPLIANT WITH ANY LAW, REGULATION, AUDIT STANDARD, OR CERTIFICATION REQUIREMENT. AI-GENERATED DOCUMENTATION MUST BE REVIEWED BY QUALIFIED PROFESSIONALS BEFORE ANY REGULATED USE. USE OF AI-GENERATED DOCUMENTATION WITHOUT PROFESSIONAL REVIEW IS AT YOUR SOLE RISK.

This EULA is governed by the laws of the State of California, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts of Santa Clara County, California.
